NOBILITH

Terms structure · working draft

Title, custody and withdrawal kept distinct.

This structure maps the intended contractual flow. It is not a legally approved final version and does not replace legal or tax advice.

01

1 · Scope and product

NOBILITH facilitates and records the acquisition of individually identified gemstones and later transfers within a closed member area.

  • No security, customer balance or return promise
  • No guaranteed liquidity, repurchase or appreciation
  • Gemstone dossier and applicable terms before contract
02

2 · Title and possession

After an effective transfer, the buyer owns the gemstone while the designated bonded custodian retains direct possession.

  • NOBILITH does not reacquire title on a resale
  • Physical movement is not required for a title change
  • Off-process disposals or encumbrances are prohibited
03

3 · Conditions for title transfer

Payment alone does not transfer title. Final payment confirmation and the custodian's signed acknowledgement of its ownership or instruction records are required.

  • Gemstone stays locked until custodian acknowledgement
  • Rejection or ambiguity enters exception handling
  • Effective time and evidence reference are recorded immutably
04

4 · Use choice before purchase or bid

Before purchasing or placing the first bid on a lot, the buyer chooses whether the gemstone should remain in bonded storage or whether Swiss delivery or direct foreign export should be prepared.

  • Bonded storage is the default
  • Auction registration stores a default that is reconfirmed per lot before the first bid
  • The choice is a preparatory instruction and not an immediate custody release
05

5 · Ongoing custody and insurance costs

From the effective transfer time, the new owner bears contractually allocated custody and insurance charges while the gemstone remains stored.

  • Time-bounded responsibility period per owner
  • Rates only after a binding provider quote
  • Unpaid charges may block disposal or withdrawal pending resolution
06

6 · Private Market trade and commission

On a successful resale, the seller owes NOBILITH a commission of 3% of the agreed trade price including Swiss VAT. The buyer pays no additional marketplace fee.

  • Commission is deducted only in the successful settlement flow
  • Gross commission, net commission, included VAT and seller payout are stored separately
  • Custody, insurance and withdrawal costs remain separate obligations
07

7 · Auction partners and third-party gemstones

Approved individuals and companies may consign gemstones exclusively to curated NOBILITH auctions. Primary-sale and Private Market listings are prohibited.

  • Registration as an individual or company; required identity, contact and domicile data plus a verified payout account before admission
  • Optional profile fields may be completed internally; material profile changes and new bank details require renewed review
  • Mandatory storage and sealing in a Swiss bonded warehouse plus a certificate from ICA GemLab, Gübelin, SSEF, GRS or GIA; NOBILITH may reject any gemstone
08

8 · Partner commission, reserve and payout

Following a successful auction sale, the partner owes NOBILITH 10% of the winning bid, including Swiss VAT, for the auction service. It is deducted from seller proceeds.

  • No guarantee of admission to an auction or of a sale
  • Confirmed reserve; no sale below it
  • Gross commission, included VAT and payout to the verified account are recorded separately
09

9 · NOBILITH Legacy

A Legacy wish records the occasion, intended recipient, dedication and requested custody or delivery path. When expressly selected at checkout, the plan is linked to the purchase and gemstone but activates only after confirmed title transfer. A plan or reminder alone never transfers title, releases custody or creates a testamentary disposition.

  • For a future gift, the buyer remains owner until the confirmed title transfer
  • An immediate gift requires identity, authority, payment and custodian verification
  • An estate wish needs valid estate documents; NOBILITH does not provide legal or tax advice
10

10 · Withdrawal into Switzerland

For release into Swiss circulation, the current owner is intended to be importer and bears import VAT, insured value transport, transit insurance, clearance and unpaid custody costs.

  • The use choice alone does not initiate withdrawal
  • Cost assessment and further confirmation are required before release
  • The customs-accepted basis remains controlling
11

11 · Direct export abroad

For direct export from Swiss bonded custody, the current owner is intended to be importer at destination and bears destination import charges plus agreed transport and insurance costs.

  • Swiss export and transit formalities remain in the release flow
  • Destination charges are not collected as Swiss tax
  • Sanctions, exportability and correct value declaration are checked before dispatch
12

12 · Providers, privacy and approval boundary

The bank, identity provider, custodian, insurer and value-logistics provider have not yet been appointed or contracted for live operations.

  • No simulation is a provider commitment
  • Private owner, recipient, account and certificate data is not public
  • Final texts require provider, privacy, tax and legal approval
